Terms of Service

1. Agreement to Terms
By accessing or using Automanagement ("the Service"), operated by Automanagement ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms constitute a legally binding agreement between you and Automanagement, governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
2. Description of Service
Automanagement is a cloud-based property management platform that provides tools for property managers, landlords, tenants, property owners, and contractors. The Service includes but is not limited to: online rent collection, maintenance request management, contractor coordination, tenant and owner portals, automated notifications, and AI-powered workflow automation.
3. User Accounts
To use the Service, you must create an account. There are four types of user roles:
- Property Manager (Admin) - Can self-register and manage properties, tenants, contractors, and billing.
- Tenant - Account created by a Property Manager. Can view unit details, pay rent, and submit maintenance requests.
- Property Owner - Account created by a Property Manager. Can view property and financial information.
- Contractor - Account created by a Property Manager. Can view and manage assigned maintenance jobs.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account and keep it up to date. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable federal or provincial law, including applicable residential tenancy legislation (e.g., Residential Tenancies Act in Ontario, Civil Code in Quebec, Residential Tenancy Act in British Columbia).
- Upload or transmit any harmful, threatening, abusive, or otherwise objectionable content.
- Attempt to gain unauthorized access to other user accounts or the Service's infrastructure.
- Interfere with or disrupt the Service or the servers and networks connected to the Service.
- Use the Service to harass, intimidate, or discriminate against any person.
- Upload malware, viruses, or other harmful code.
- Scrape, data mine, or otherwise extract data from the Service by automated means.
5. Payment Terms
Rent payments processed through the Service are facilitated via Interac e-Transfer. Tenants send e-Transfers directly to their property manager's email address as configured in the Service. Automanagement does not handle, hold, or process any funds directly. All payment disputes and refund requests related to rent payments should be directed to your property manager. Automanagement is not a party to any lease agreement and does not determine rent amounts, late fees, or refund policies.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.
7. Intellectual Property
7.1 Ownership
The Service, including all software, source code, object code, algorithms, user interfaces, designs, graphics, text, documentation, and all other materials (collectively, "Automanagement IP"), is the exclusive property of Automanagement and is protected under the Copyright Act (R.S.C. 1985, c. C-42), the Trade-marks Act (R.S.C. 1985, c. T-13), and applicable international intellectual property treaties. All rights not expressly granted herein are reserved by Automanagement.
7.2 Trade Secrets
The architecture, algorithms, data models, business logic, and proprietary methods embodied in the Service constitute trade secrets and confidential information of Automanagement, protected under Ontario common law and the law of confidence. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of the Service.
7.3 Prohibited Activities
Without limiting Section 4, you specifically agree not to:
- Copy, reproduce, modify, or create derivative works based on any part of the Service or Automanagement IP.
- Use automated tools, bots, scrapers, or crawlers to access, index, or extract data from the Service.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Service.
- Sublicense, sell, resell, transfer, assign, or distribute the Service or any portion thereof.
- Access the Service to build a competitive product or service, or to benchmark the Service.
7.4 Your Data
You retain ownership of all data you input into the Service (property details, tenant information, maintenance records, financial data, etc.). By using the Service, you grant Automanagement a limited, non-exclusive, non-transferable license to store, process, and display your data solely for the purpose of providing the Service to you. We will not sell, share, or use your data for any purpose other than service delivery, except as required by law.
7.5 Copyright Infringement
Automanagement respects the intellectual property rights of others. In accordance with Canada's notice-and-notice regime under the Copyright Act (ss. 41.25-41.27), if you believe that content on the Service infringes your copyright, please contact us at info@automanagement.ca with a description of the copyrighted work, the location of the allegedly infringing material, and your contact information. We will forward any notice of claimed infringement to the relevant user and take appropriate action as required by law.
8. Limitation of Liability
To the maximum extent permitted by law, Automanagement shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim arising out of or relating to the Service shall not exceed the amount you paid to Automanagement in the twelve (12) months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to comply with legal obligations and resolve disputes, after which it will be deleted in accordance with our Privacy Policy.
10. Dispute Resolution
Any dispute arising out of or relating to these terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with the Arbitration Act, 1991 (Ontario), conducted in London, Ontario. Nothing in this section prevents either party from seeking injunctive relief from a court of competent jurisdiction.
11. Governing Law
These terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. The courts of Ontario shall have exclusive jurisdiction over any legal proceedings arising out of or relating to these terms.
12. Changes to These Terms
We reserve the right to modify these terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
